These Terms of Use ("Terms") govern the use of the websites, platforms and services operated by Kris Konsulting ("Kris Konsulting", "we", "us"), a proprietary concern of Mr Krishnan Viswanathan.
They apply to kriskonsulting.com, krisgrc.com, krislms.in, krislms.com, kahona.io, whistle.ws and helpcircle.com, together with any sub-domain of these, and to any other website, platform or service that Kris Konsulting may operate from time to time (together, the "Websites" and the "Services").
By accessing the Websites, registering an account, purchasing any product or using any Service, you agree to these Terms together with our Privacy Policy. If you do not agree, please do not use the Services.
These Terms apply to two kinds of user, and some clauses apply to one and not the other.
Individual subscribers are people who register with us directly and pay for access to a learning programme for their own use. The clauses on individual subscriptions, fees, refunds and misuse apply to you.
Organisations are businesses, institutions, associations and other bodies that subscribe to our hosted platform to deliver training to their own employees, members or customers. The clauses on organisation subscriptions apply to you, together with your order form or agreement, which prevails over these Terms where it differs.
People who are given access by an organisation hold their relationship with that organisation and not with us. Your access, what you may do with it, and what happens to your records are matters for that organisation. These Terms apply to your use of the platform itself, in particular the acceptable use clause below.
Kris Konsulting provides advisory, assurance, training and mentoring services, including governance, risk and compliance advisory and documentation; a hosted learning management platform provided to organisations for training their employees, members or customers; e-learning, virtual classroom and classroom training; and self-paced online learning programmes for individual subscribers. Not every Service is offered on every Website, and some Services are available only under a separate agreement.
The scope, fees and terms of any engagement with an organisation are as set out in the applicable proposal, order form or engagement letter, which prevails over these Terms to the extent of any inconsistency.
Parts of our services are offered on a Beta basis. Beta features and content may change or be withdrawn, occasional issues may occur, and no service-level commitment applies to them. Feedback you share may be used to improve the product.
You must be at least 18 years of age to register with us directly. You agree to provide true, accurate and complete information when you register, and to keep it current. You are responsible for keeping your login credentials secure, for not sharing them with anyone, and for all activity carried out under your account. Please tell us promptly if you believe your account has been accessed without authorisation. Where you register on behalf of an organisation, you confirm that you are authorised to bind that organisation.
Our learning programmes for individual subscribers are single-user products, and each registration is for one named individual. You may not share, lend, resell, sublicense or transfer your account or access to anyone else, and you may not use one registration to teach or relay the content to other people. For groups, each learner requires a separate registration, and organisation rates are available for this purpose.
Where an organisation subscribes to our hosted platform, it is provided with its own separate instance. The organisation administers that instance, which includes creating and removing user accounts, setting roles and permissions, and keeping within the number of users licensed under its order form.
The organisation is responsible for the people it gives access to, for making them aware of the acceptable use clause below, and for removing access when a person is no longer entitled to it. It is also responsible for giving its own people the notices required by law and for obtaining any consent required, including where it is training its own customers.
Content uploaded by an organisation to its instance remains its property, and we claim no ownership of it. The organisation confirms that it holds the rights necessary to upload that content. We do not routinely review it, but we may remove content where we are required to by law or where it breaches the acceptable use clause, and we will tell the organisation when we do.
On expiry or termination, the organisation may request an export of its content and user records, and we will delete the instance and its data after that period. The timelines are as set out in the order form.
To protect against account sharing and other misuse, we log technical information which may include IP address, approximate location, device details and access patterns. Where we reasonably determine that misuse has occurred, we may suspend or terminate access. Except where immediate suspension is necessary, we will notify you, give you an opportunity to respond, and consider your response before terminating access. Where access is ended for misuse, no refund is due.
Fees are as published on the relevant pricing page or as set out in the applicable order form, and are payable in advance. All fees are exclusive of GST, which is charged at the applicable rate, currently 18 per cent. Access is granted for the period paid for. Payments are processed through authorised third-party payment gateways and we do not store payment credentials. We are not responsible for payment gateway errors or related disputes, which are governed by the gateway's own terms. If payment is not received when due, we may suspend access after reasonable notice.
Purchases of course access are ordinarily non-refundable and non-transferable, and quarterly extensions and annual plans are non-refundable. Please check system compatibility and course suitability before purchasing.
Refunds will be made in the following cases. Where a duplicate payment has been made for the same product because of a technical error, the excess amount will be refunded on verification. Where a transaction has failed but the amount has been debited, the refund is initiated by the payment gateway under its own process, which usually takes five to seven working days. Any other request will be considered on its merits in exceptional cases. Eligible refunds are credited to the original payment instrument after confirmation from the payment gateway.
All content, curriculum, audio, text, software, configurations, templates and other materials in our services are owned by Kris Konsulting or its licensors. On registration you receive a limited, personal, non-transferable right to access the content for your own learning or business use during your paid period. You may not copy, record, download except where the product allows it, reproduce, redistribute, publicly display or create derivative works from any part of it without our prior written permission. Content uploaded by an organisation to its own instance remains the property of that organisation, as set out above.
Our hosted learning platform is built on the Moodle open-source learning platform, which is made available under the GNU General Public Licence. Nothing in these Terms restricts any right you have under that licence in respect of the underlying Moodle software. Our configurations, integrations, themes, content and documentation remain our property. Our services may also include or link to other third-party software, applications and websites, which are governed by their own licences and terms. We do not control them and are not responsible for them or for any loss arising from your use of them.
Please use our services only for your own learning or business purpose. Do not scrape, bulk-download, record or redistribute content; do not reverse engineer, interfere with or attempt to gain unauthorised access to the service; do not upload unlawful, infringing or harmful material; and do not use the service for any unlawful purpose.
The services may be unavailable from time to time for scheduled maintenance, for emergency maintenance, or for reasons beyond our reasonable control. We will use reasonable efforts to give advance notice of scheduled maintenance and to carry it out outside business hours where practicable. Any specific availability commitment applies only where it is expressly stated in an order form.
We may suspend or end access where you breach these Terms, where payment is overdue, or where it is necessary to protect the security of the service or to comply with law. Where access is ended for breach, no refund is due for the unexpired period.
Our services are provided on an "as is" and "as available" basis. We do not guarantee any particular learning outcome, examination result, certification or regulatory outcome. Our governance, risk and compliance deliverables are advisory and do not replace your own obligations under applicable law or regulation. To the maximum extent permitted by law, our total liability arising from your use of the services is limited to the fees you paid for the relevant period, and we are not liable for any indirect or consequential loss. Nothing in these Terms limits any right you have as a consumer that cannot lawfully be limited.
You agree to indemnify us against any claim, loss or expense, including reasonable legal costs, arising from your breach of these Terms, your infringement of any third-party right, or, in the case of an organisation, any claim relating to content you upload or to the people you enrol. This does not apply to the extent the loss arises from our own breach or negligence.
We may update these Terms from time to time, and the current version with its effective date will always be posted on this page. Where a change materially affects your rights we will give reasonable notice. Continued use of the services after a change means you accept the updated Terms.
Any complaint relating to the services may be sent to the Grievance Officer, Kris Konsulting, at info@kriskonsulting.com. We will acknowledge a complaint within 48 hours and endeavour to resolve it within one month. Office hours are Monday to Friday, 10:00 am to 6:00 pm.
These Terms are governed by the laws of India and are subject to the exclusive jurisdiction of the courts at Chennai, without affecting any right a consumer has to approach a consumer commission having jurisdiction.
